Annex A — Commission Seller Agreement
This annex applies only to sellers who do not have a GSTIN on file with Yaalgo.
- Sellers without a GSTIN sell on the platform as commission agents. On each sale, Yaalgo buys the goods from the supplier and sells them to the customer under Yaalgo's own GSTIN, and pays the seller a commission on the sale.
- The commission equals the seller's listed markup less the platform's commission cut. The cut is either a flat amount per unit or a percentage, and is shown in the seller dashboard. Changes to the cut apply to new orders only.
- The wallet debit taken at checkout on these orders is a refundable order float that is returned to the seller in settlement. It is not a purchase of goods by the seller.
- Delivery charges are reimbursed to the seller at cost and do not form part of the commission.
- Packing charges are recovered from the seller at cost.
- Income-tax TDS under section 194H (2% where a valid PAN is on file) is withheld from commission once it exceeds ₹20,000 in a financial year. The tax withheld is deposited against the seller's PAN, appears in their Form 26AS/AIS, and quarterly Form 16A certificates are issued.
- Commission payouts are held until a valid PAN is on file and this agreement has been accepted.
- Returns reverse the related commission and delivery reimbursement.
- Once the seller's commission approaches ₹20 lakh in a financial year, the seller must obtain GST registration. After registration, new orders leave this arrangement.
- This annex is subject to review by the company's chartered accountant and may be versioned. Continued selling after a version change requires re-acceptance.
